               Investment Agreement

This Investment Agreement (The Agreement) is dated as of 22nd... Day Of...June ...2020,  by and   Between SAUDI SOVEREIGN WEALTH FUND, a Kingdom of Saudi Arabia Public Investment Fund.

AND

SANOSTEM GLOBAL LLC ( THE INVESTMENT MANAGER )  and having an address at 4000 Stockdale Hwy. Ste D. Bakersfield, CA 93309. USA

WHEREAS,  SANOSTEM GLOBAL LLC is developing technologies that it represents are consistent with the cure of Covid19, which fulfills the development objectives of  SAUDI SOVEREIGN WEALTH FUND; 

AND:

WHEREAS, SANOSTEM GLOBAL LLC would benefit from a relationship with SAUDI SIVEREIGN WEALTH FUND, whereby the SAUDI SOVEREIGN WEALTH FUND would provide SANOSTEM GLOBAL LLC with Investment Funds ;

AND:

WHEREAS, the SAUDI SOVEREIGN WEALTH FUND is willing to invest USD 5,000,000,.00 ( FIVE MILLION UNITED STATES DOLLARS) subject to the terms and conditions of this Agreement;

NOW, THEREFORE, in consideration of the mutual covenants and agreements set forth below, the parties covenant and agree as follows:

Article 1.

1.1. As a part of its investment agreement with SANOSTEM GLOBAL LLC, the SAUDI SOVEREIGN WEALTH FUND agree to

(I) Provide SANOSTEM GLOBAL LLC with the sum of USD 5,000,000,.00 (  FIVE MILLION DOLLARS).

(I) That there should be a three(3) year moratorium prior to earnings from the investment.

(iii) The SANOSTEM GLOBAL LLC should apply the funds solely to the project for which it was invested.

(iv) That SANOSTEM GLOBAL LLC shall from time to time and upon quarterly demand provide SAUDI SOVEREIGN INVESTMENT FUND with information on the progress of the investment.

(v) That 55% of the profit on a pro-rata basis goes to the Investor ( Saudi Sovereign Wealth Fund)

(vi) 35% of the profit to the Investment Manager( SANOSTEM GLOBAL LLC )

(vii) 10%  designated to cover operational cost incurred by the Investment Manager ( SANOSTEM GLOBAL LLC ) incurred in the course of the project.


Representations And Warranties:

(2) (I) The Investment Manager ( SANOSTEM GLOBAL LL )  hereby warrants that it is a duly formed and validly existing company with corporate and legal power to conduct the business of investment and perform its obligations thereunder.

(3) The Investor ( Saudi Sovereign Wealth Fund) irrevocably warrants that the funds invested in the Investment Manager
( SANOSTEM GLOBAL LLC ) are legitimate funds with and of no criminal origin.

Duration.

(4) This agreement shall come into force upon the parties signing it.

(5) Either parties can voluntarily terminate this agreement upon giving TEN DAYS notice of such intention in writing to the other party.

(6) Arbitration:
The parties herein have irrevocably agreed to refer any dispute arising from any part or whole of this agreeent to a sole arbitrator mutually appointed in accordance with international arbitration laws.

(7) The RoI, Return on Investment can only commence after three(3) years from the time of investment.


(8) In witness whereof the parties have set their hands and seals the day and year first written.
